자율규제는 모호한 개념이다. 이 글에서는 자율규제를 사적 질서 내지 내재적 관점에서 살펴본다. 우선 분석의 범위를 좁힐 필요가 있다. 이 글은 회사지배구조모범규준, 기업회계기준, 유가증권상장규칙, 공정경쟁규약, 변호사 또는 의사광고규정, 언론윤리강령, 게임이용자보호 가이드라인, 스포츠규칙, 온라인서비스제공자의 NTD 자율규제, ICANN의 도메인 이름 규제를 사적 질서로서 자율규제의 예로 파악하고 그러한 규제의 전형적 구성과 그로부터 발생하는 법적 쟁점을 구체적으로 보인다. 이어서 그러한 규제들이 자율규제기구에 의하여 채택된 정관 또는 약관으로 구성되어 그 법적 구속력을 확보하고 있으나 그 실질적인 내용과 작동방식은 오히려 법령의 그것에 가깝고, 그 정당성과 한계에 관한 논의는 공법의 그것에 가까우나 그러한 결론에 이르는 형식적 도구는 사법의 그것이고 그럴 수밖에 없음을 드러낸다. 끝으로 사적 질서, 특히 자율규제도 국가법 못지아니하게 하나의 규범이라는 점을 주장한다.
Self-regulation is an ambivalent concept. In this article, self-regulation shall be illuminated from the perspective of private ordering, or rather, an intrinsic view. First, it is necessary to narrow down the scope of the analysis. This article chooses corporate governance codex, corporate accounting practice, listing rule of the stock exchange market, fair competition agreement, legal or medical professional advertisement codex, press ethics codex, game user protection codex, sports rule, self-regulation for internet intermediaries’ notice-and-takedown or ICANN’s domain name regulation as the examples of self-regulation as private ordering, and identified the typical composition of and the legal issues arising from those regulations. Then, it presents those regulations as the by-laws of or boiler-plates for contracts adopted by self-regulatory bodies, by which those regulations secure their binding force, while the typical structure and operation thereof is similar to that of state law, and shows the justifications and legal issues of those regulations are isomorphic as are in public law though the formal tools to reach those results and remedies available are limited to those of private law. Furthermore, it argues that private ordering, especially that of self-regulation, is also a norm as much as that of state law.
