우리나라에는 불공정한 경쟁 환경이나 시장 왜곡 현상이 존재한다. 이는 중소기업과 대기업 간의 관계 조정을 위한 차별적 규제를 정당화하는 배경이 되고 있으며, 중소기업을 ‘배려’를 넘어 ‘보호’의 대상으로 보는 제도(적합업종 제도 등) 출현에 영향을 미치고 있다. 그런데 중소기업 등을 보호한다는 명목 아래 대기업 등의 특정 영역 참여 자체를 제한하는 적합업종 제도에 대해서는 그 당위성을 둘러싼 논란이 적지 않다. 경제환경의 급변으로 업종 간 경계가 모호해지는 가운데 특정 업종에 최적인 또는 반드시 보호해야 할 기업 규모가 존재함을 설명하기 어려워진 것, 대기업 등의 시장진입 제한이 소비자를 비롯한 이해관계자의 이익 훼손 등 예기치 못한 부작용⋅폐해를 초래하기도 하는 것을 생각하면 이러한 논란은 당연한 결과일지도 모른다.
상대적 약자의 위치에 있는 중소기업 등을 배려한 차별적 규제나 지원의 필요성은 부정하지 않는다. 다만 중소기업과 대기업 등이 특정 영역에서 경쟁하는 것은 적절치 않다는 인식 아래 대기업 등의 진입 자체를 제한하는 방식으로 양자의 관계를 정리하는 것이 적절한 것인지는 의문이 있다. 중소기업 고유업종 제도가 폐지되고 적합업종 제도가 도입⋅운영되는 일련의 과정을 보면, 위와 같은 방식이 ① 중소기업 간 과당 경쟁 초래 및 중소기업의 성장과 혁신 지연, ② 소비자를 비롯한 이해관계자의 이익 침해, ③ 대기업 간 또는 국내기업과 외국기업 간 역차별 문제 등 적잖은 부작용⋅폐해를 초래할 수 있음을 알 수 있다. 중소기업 적합업종 제도에서 민주적 절차나 졸업제를 도입한 것은 이러한 부작용⋅폐해를 의식한 것이다. 그런데 사업조정 제도 등 다른 제도와의 관계에서 적합업종 제도의 부작용⋅폐해를 억지하기 위한 노력이 무의미하게 되는 장면이 나타나는 등 현행 적합업종 제도의 존재⋅운영 방식이 합리적인지 의문이 든다. 중소기업 등을 보호⋅육성하는 것은 매우 중요한 문제이지만, ‘보호’에만 매몰되어 대기업 등의 시장 참여를 제한하고 경쟁을 인위적으로 억제하는 방식을 취하는 것이 기업, 소비자, 국가 경제라는 관점에서 바람직한지 현시점에서 다시 한번 고민해 볼 필요가 있다.In Korea, there is an unfair competitive environment or market distortion. This is the background of justifying discriminatory regulations for adjusting the relationship between SMEs and large companies. In addition, it is affecting the emergence of a system (such as a suitable business type system) that views SMEs as targets of ‘protection’ beyond ‘consideration’. However, there is a lot of controversy over the justification for the system of suitable business that restrict the participation of large companies in particular industry under the name of protecting SMEs. This controversy may be a natural result considering that it has become difficult to explain that there is an optimal or must-protect company size for a particular industry amid the blurring of boundaries between industries due to the rapid economic environment.
It does not deny the need for discriminatory regulation or support in consideration of SMEs. However, it is questionable whether it is appropriate to organize the relationship between the two by limiting the entry of large companies itself under the perception that it is not appropriate for SMEs and large companies to compete in certain industry. Looking at the process of transition of the suitable business type system, it can be seen that the above method can cause considerable side effects and harm. It includes: (1) excessive competition between SMEs, delayed growth and innovation of SMEs, (2) infringement of interests of consumers and other stakeholders, and (3) reverse discrimination between large companies or domestic and foreign companies. Protecting and fostering small and medium-sized enterprises is a very important issue. However, it is necessary to reconsider whether it is desirable to choose a method to restrict large companies’ participation in the market in terms of “protection” of SMEs from the perspective of corporate, consumer, and national economy.
