채권자는 투자수익으로서 정해진 이자와 원금을 받는 반면, 주주는 잔여이익에 대한 청구권을 가지기 때문에 채권자와 주주는 위험에 대한 선호 측면에서 이해관계가 불일치하게 된다. 주주의 이익을 대변하는 경영자가 채권자의 이익을 희생하여 주주의 이익을 추구하는 대리인 문제는 많은 선행연구에서 논의되었고, 이는 자산 대체 문제(asset substitution problem)라고 널리 알려져 있다. 그런데 최근 자본시장에서 채권자와 주주의 입장을 동시에 가지는 이중투자자가 등장하였는 바, 이중투자자의 역할에 대한 추가적인 연구가 필요한 실정이다. 본 연구는 이중투자자의 등장에 초점을 맞추어 기업들이 보유하고 있는 현금의 한계가치에 이중투자자가 미치는 영향을 살펴보았다. 2001년부터 2014년까지 상장회사들을 표본으로 사용하여, 본 연구의 실증분석은 다음과 같은 증거를 발견하였다. 첫째, 이중투자자의 존재 여부는 평균적으로 기업이 보유한 현금의 가치에 영향을 미치지 않았다. 그러나 레버리지가 낮거나 부도위험이 낮은 기업에서 이중투자자는 현금의 한계가치에 음의 영향을 미치는 것을 발견하였다. 이러한 결과는 경영자가 채권자를 덜 의식하거나 채권자의 모니터링이 약한 상황에서 이중투자자가 기업이 보유한 현금이 채권자의 이익을 희생하고 주주의 이익을 극대화하는 방향으로 사용되지 않도록 감시하는 역할을 수행한다는 예측과 일관되었다. 둘째, 이중투자자가 존재하는 경우 현금의 한계가치가 감소하는 현상이 R&D 집중도가 높은 기업에서 보다 두드러지는 것으로 나타났다. 이러한 결과는 이중투자자가 고위험이 수반되는 R&D 투자로부터 발생할 수 있는 자산 대체 문제를 완화하여 채권자의 이익을 보호한다는 예측을 지지하였다. 본 연구는 이중투자자의 존재 여부가 시장에서 평가하는 현금의 가치에 미치는 영향을 보임으로써 주주와 채권자의 이익을 함께 대변하는 이중투자자의 역할에 대한 이해도를 높였다는 점에서 의의가 있다.
Debt holders and equity holders exhibit different risk preferences, because debt holders are fixed claimants receiving interest and principal payments in return for their investments while equity holders are residual claimants. Prior studies point out that debt holders face an agency problem from managers making decisions to maximize equity holders' wealth at the expense of debt holders’ interest, also known as the asset substitution problem. Recently, however, a distinct group of investors acquire debt and equity simultaneously (hereafter DE investors), requiring further investigation into the role of DE investors in the capital market. This study attempts to examine how the presence of DE investors affects the market valuation of cash holdings. Empirical analysis based on a sample of public firms during 2001-2014 reveals the following. First, the presence of DE investors has little impact on the marginal value of cash at typical firms, but reduces the marginal value of cash at firms with low leverage. This is consistent with the prediction that DE investors prevent managers from spending cash on risky investments that help maximize equity value. Equity holders thus discount the value of cash holdings in the presence of DE investors. Second, the negative effect on the marginal value of cash is more pronounced at firms that rely more heavily on R&D investments. This indicates that DE investors play a particularly critical role in protecting debt holders’ wealth and mitigating the asset substitution problem at firms that are more likely to invest in risky projects, and that their presence leads the equity holders to discount the value of cash. These results deepen our understanding of DE investors as a group balancing the interests of debt holders and equity holders in the capital market.
