이 글은 제일모직-삼성물산 합병에 관한 주주총회 결의금지 가처분 사건을 “계열회사 간 합병에 있어서 이사의 의무는 무엇인가”라는 관점에서 검토하였고, 다음과 같은 결론을 얻었다. 첫째, 소수주주권 행사요건에 관한 상장회사 특례조항은 일반조항을 배제하는 것이 아니므로, 6개월 보유요건을 갖추지 못하였더라도 일반조항에 따른 지분요건을 충족하였다면 소수주주권 행사요건을 충족한 것으로 보아야 한다. 둘째, 합병당사회사의 이사들은 회사의 주주들이 정당한 합병대가를 받도록 노력할 선관주의의무와 충실의무를 부담한다. 이러한 의무는 회사에 대하여 지는 것이지만 합병으로 회사가 소멸하는 국면에서는 그 의무가 없어지는 것이 아니라 합병대가를 수취하는 주주의 이익을 보호할 의무로서 존재하고, 이것이 회사에 대한 수임인으로서의 의무의 중요한 내용을 구성한다고 보아야 한다. 셋째, 이사의 선관주의의무와 충실의무에 위반한 행위는 법령위반으로서 유지청구의 대상이 될 수 있으므로, 과연 삼성물산 이사들의 의무 위반이 있었는지를 적어도 대법원이 설시한 경영판단원칙의 관점에서 검토해야 한다. 예컨대 합병여부 및 시기의 결정, 대안적 거래구조 및 할증가능성의 탐색 등 주주이익을 보호하기 위해 합당한 정보를 수집하고 최선의 방안을 검토하는 노력을 기울였는지가 중요하다. 넷째, 합병무효는 이미 완성된 합병을 원래대로 되돌리는 것으로서 시일이 경과한 대규모회사의 경우에는 사실상 새로운 회사분할에 해당하여 실현가능성도 낮고 피해구제에도 적합하지 않으므로 그리 바람직한 구제수단이 아니다.This article critically reviews the court decision on a merger between Cheil Industries and Samsung C&T and argues the following points. First, shareholders who satisfy the minimum shareholding requirement for filing an injunction under Article 402 of the Korean Commercial Code should be allowed to file such an injunction vis-a-vis a listed company as well in spite of the dubious provisions which require 6-month holding period for exercising minority shareholders’ rights in a listed company. Second, the directors of the parties to a merger owe duty of care and duty of loyalty toward their shareholders, under which they have to make good-faith efforts to obtain results favorable to their shareholders. Third, because violation of such duties of directors gives rise to shareholders’ injunction right under Article 402 of the Korean Commercial Code, the court must review whether the directors of the parties to a merger breached their duties in the course of a merger under the doctrine of the business judgement rule. For example, it must be reviewed whether the directors made good-faith efforts to collect reasonable information and reviewed alternatives to protect the shareholders’ genuine interests. Fourth, nullification of a merger is neither feasible nor effective remedy for shareholders because it is practically very difficult to unwind a completed merger.
