대법원은 지난 2008. 10. 23. 선고한 2007다35596 판결에서 의무보호예수유가증권의 계속보유의무자가 위 유가증권의 반환청구권에 관하여 질권을 설정한 경우 증권예탁결제원은 보호예수기간이 만료된 후 위 유가증권에 관하여 상대적 불확지 공탁을 할 수 있다고 판시하였다. 위 판결은 유가증권 권리자, 즉 소유자인 계속보유의무자에게 그 유가증권에 대한 물권적 반환청구권이 있고, 이에 대한 압류·가압류가 가능하다는 점을 전제하고 있다는 점에서 실무상 의미가 있고, 또 물권적 반환청구권과 채권적 반환청구권의 충돌 문제를 다룬 판결이라는 점에서 이론적으로도 의미가 있다.
학설상으로는 이러한 경우 물권적 반환청구권을 우선하여야 한다는 견해가 주장된 바 있다. 위 판결도 은연 중 그러한 입장을 따르고 있는 것처럼 보이기도 한다. 그러나 소유자가 아닌 권적 반환청구권자에게도 자기에의 반환을 구할 정당한 이익이 있는 경우가 많고, 법리상으로도 채권적 반환청구권을 배제할 만한 설득력 있는 근거를 찾아볼 수 없다. 입법론은 별론으로 하고, 적어도 해석론상으로는 물권적 반환청구권과 채권적 반환청구권이 병존하고, 의무자, 이 경우 증권예탁결제원으로서는 어느 쪽에 반환하든 원칙적으로 책임을 면한다고 보아야 한다.
다른 한편, 가사 위와 같은 병존관계를 인정한다 하더라도 증권예탁결제원의 공탁은 허용할 수 있는 것 아닌가 하는 의문이 있을 수 있다. 그러나 이는 상대적 불확지 공탁의 요건에 맞지 아니하여 허용될 수 없다. 이 경우 공탁을 허용하는 것은 일종의 법형성에 해당하는데, 대법원이 이러한 법형성을 의도한 것인지 의문일 뿐 아니라, 이 경우에 법형성의 전제조건, 즉 법률의 흠결이 있는 지도 의문이다.
물론 현재의 법상태가 만족스럽다고 할 수는 없다. 그러나 이는 물권적 반환청구권과 채권적 반환청구권의 우열 내지 상대적 불확지 공탁의 적용범위 확장이 아니라 보호예수거래의 구조를 합리화함으로써 해결될 수 있고, 또 그러한 방법으로 해결하는 것이 정도(正道)이다.Lockup, or Safe Deposit, is an agreement to oblige company insiders or venture capitalists not to sell their shares for a set period of time. Before a company goes public, the company and its underwriter typically enter into a lockup agreement to ensure that shares owned by these insiders don't enter the public market too soon after the offering. Lockup is commonly used in Korea, even when it is not compulsory, in order to circumvent the requirement of public offering under Korean Securities and Exchange Act (now substituted by Capital Market and Financial Investment Business Act of March 8, 2007).
The uniqueness of Korean safe deposit regime is that on issuing the securities certificates, the issuing company itself, as a contract party, deposits the certificates in Korea Securities Depository (hereafter "KSD"), instead of delivering them to the shareholder and entrusting him with further deposition process. The main purpose of this regime is to prevent the shareholder's conversion. As the deposit agreement is made between KSD and the issuing company, however, KSD can and have to return the certificates to the issuing company after the set period passes.
The Supreme Court of Korea decided on October 23, 2008 (2007Da35596) that KSD should either return the certificates to the issuing company (the contract party) or deliver them directly to the shareholder, depending on the relationship between the shareholder and the issuing company, and KSD could be relieved of the obligation to deliver the certificates to the rightful person by depositing them in the court. The premise of this ruling seems to be the proposition that the duty to deliver to the property right holder (in the situation above, the shareholder) oust the duty to return to the obligatory right holder (in the situation above, the issuing company).
Such a conflicts-of-duties-argument, however, cannot be justified under Korean Civil Code. Absent any prescriptions dealing with this conflict situation, KSD (the possessor), in principle, cannot only deliver the certificates directly to the shareholder (the property right holder) but also return them to the issuing company (the obligatory right holder). KSD would be relieved from any responsibility to the shareholder as well as the issuing company when it delivers the certificates to either the shareholder or the issuing company, and whether it delivers them to the shareholder or the issuing company wouldn't make any difference. It is because the issuing company has good reason to ask the certificates to be returned even if it is not a property right holder and there seems to be no justification to exclude his obligatory right. When property right holder's claim concurs with obligatory right holder's as in this situation, the possessor has no right to deposit in a court. The ruling of this decision cannot be supported.
Certainly, the current situation is not satisfactory enough. But the solution lies neither in the conflicts-of-duties-argument nor in the expansion of the coverage of a court deposition. It lies in the reformation of the structure of Korean lockup transaction.
