본 연구는 우리나라 코스닥 시장에서의 기업공개에 따른 경영자의 이익조정실태를 재조명하고 나아가 보고이익의 상향조정을 통한 과장된 경영성과를 기반으로 시장에 진입한 기업들의 계속기업가능성을 분석해보고자 착수되었다. 구체적으로 코스닥 시장에서의 신규상장 기업이 상장 직전에 기업공개 요건의 충족 등을 위하여 발생액 및 실물활동을 통해 보고이익의 상향조정하는지 그리고 그 기간의 상향 이익조정 정도가 클수록 상장 후 시장으로부터 퇴출될 가능성이 증폭되는 경향이 있는가를 규명함을 목적으로 한다. 신규상장 기업의 이익조정실태를 이해하고 상장직전의 상향이익조정을 통한 과장된 미래성과 기대치에 근거하여 시장에 진입한 기업들이 상장 후 시장에서 어떠한 행태를 보이는가를 살펴보는 것은 코스닥 신규상장 기업들의 건전성 문제에 대한 직관을 제공하고 감독기관으로 하여금 기업공개를 비롯한 코스닥 시장에 관련된 기존의 규정을 개정, 수정하거나 새로운 규정에 대한 도입의 필요성을 판단하도록 하는데 도움을 줄 수 있다. 이를 위해 먼저 신규상장기업에서 상장직전 년도에 발생액 및 실물활동 조정을 통한 상향 이익조정 현상이 존재하는가를 검증하고 이후 그 기간의 상향 이익조정과 상장폐지확률 간에 어떠한 관련성이 존재하는가를 생존분석(survival analysis)을 이용하여 실증적으로 검증하고자 하였다. 또한 본 연구는 기업공개 직전의 발생액 및 실물활동에 기초한 상향 이익조정 행위가 상장폐지가능성에 미치는 차별적인 영향에 대해서도 조사하였다.
주요한 분석결과를 요약하면 다음과 같다. 첫째, 코스닥 시장의 신규상장기업들은 기업공개 요건의 충족 등을 위하여 상장 직전년도에 발생액과 실물활동 조정을 통하여 보고이익을 증가시키고 있는 것으로 나타났는데 이는 코스닥 신규상장 기업을 대상으로 이익조정행태를 분석한 국내 선행연구에서 보고된 결과와 동일하다. 둘째, 기업공개 직전년도에 수행된 상향이익조정의 정도가 클수록 시장으로부터 퇴출될 가능성이 증가하는 것으로 관찰되어지는데 이는 상장직전에 수행된 증가적 이익조정이 기업의 열악한 본질가치를 은폐하거나 과장하기 위해서 수행됨으로 인해 기업공개 직전에 과도한 이익의 상향조정을 수행한 기업들이 상장 후 본질가치의 부실함으로 인해 시장경쟁에서 도태되고 결국 상장폐지되는 경향이 존재함을 제시한다. 셋째, 기업공개 직전의 실물이익조정이 발생액조정에 비해 상장폐지가능성과 보다 밀접하게 관련되어 있는 것으로 나타났으며 이는 발생액 조정에 비해 실물활동을 통한 이익조정이 자원배분의 왜곡을 초래하여 미래의 경영성과를 더욱 악화시킬 수 있다는 지적과 맥락을 같이 하는 결과이다. 본 연구의 결과는 기업공개를 앞두고 수행된 상향이익조정의 크기가 클수록 해당 기업이 추후에 시장으로부터 퇴출될 가능성이 증폭됨에 대한 실증적 증거를 제공함으로써 코스닥 신규상장제도의 중요성을 환기시키고 이를 개선하는데 기초가 되는 단서를 제공할 수 있다. 또한, 코스닥 시장의 부흥을 위해서는 보다 엄격한 회계심사를 통해 보다 건전한 기업들이 시장에 진입하도록 하여 기업의 재무제표를 믿고 투자할 수 있는 시장 환경조성이 중요하다는 정책적 시사점을 제공한다.This paper aims to investigate the association between upward earnings management just before IPO and survival probability of IPO firms in the KOSDAQ market. To achieve research objective, we first examine whether the companies engage in upward earnings management via accruals and real management activities shortly before their IPOs. We next investigate whether such earnings managements are negatively associated with the survival span of IPO firms in the aftermarket by employing survival analysis method. The opportunistic earnings management committed by IPO firms is likely to signal inferior corporate governance and intrinsic value which may lead to early operating and financial after their IPOs. By examining the relationship between the degree of earnings management before IPOs and the likelihood of corporate survival, one can develop intuition into the early warning feature of managerial earnings management for possible business failures. The implication derived from this study will also help regulatory agencies make proper judgements on revision existing rules or stipulating new rules to govern the current IPO procedures.
Our main findings are as follows. First, we find that discretionary accruals as well as discretional real activities in the year immediately prior to the IPO are significantly positive, which is consistent with the firms applying for IPO in the KOSDAQ market tend to window-dress their earnings to facilitate their IPO procedures. Second, we find that the upward earnings management just before IPO are significantly related with the increases in the probability of delisting subsequent to the IPO, which suggest that firms engaging in upward earnings management prior to the IPO are more likely to experience business troubles after their IPOs. Third, we find that the upward earnings managements based on real activities in the year before the IPO are likely to be more strongly associated with increases in the probability of post IPO delisting relative to accrual based earnings management. The evidence reported in this paper suggests the need for more rigid screening schemes for the IPO procedure in the KOSDAQ market and also for adequate measures to be taken to ensure that the interests of the outside investors are properly protected.
