상속과 관련된 관습에 의하면, 호주는 직계존속과 직계비속, 형제자매를 모두 부양하였다. 호
주상속을 하면서 재산을 모두 상속받은 장남은 형제들이 분가할 때 일정 재산을 분재하여 주었다. 부
모는 자녀의 부양을 받는 것이 당연하였다. 그러나 현재는 핵가족제도의 정착 및 상속순위의 후순위로,
직계존속과 형제자매는 직계비속이 있는 한 피상속인으로부터 전혀 상속을 받을 수 없게 되었다. 이는
직계존속과 직계비속에 대한 상속권을 배제함으로써 그들에 대한 사적 부양이 무시되고 있어 문제이
다. 따라서 상속순위에 있어서 직계존속 및 형제자매도 직계비속 및 배우자처럼 1순위가 되는 것이
옳다고 본다.
한편 배우자에 대한 상속분에 혼인 중 증가된 재산에 대한 분할청구권이 보장되지 않고, 부양의무 이
행에 대한 기여분이 제대로 인정되지 않기 때문에 평생 같이 살아온 배우자가 이혼하는 배우자보다 더
적게 상속받는 경우도 발생하고 있다. 따라서 배우자의 부양기여분에 있어 “특별한 부양”의 정도를 완
화할 필요가 있고, 이혼시 인정되는 재산분할청구권을 사망시에도 인정하는 것이 타당하다고 본다. 그
리하여 해당 재산을 생존배우자의 재산(부부 공유재산의 분할)으로 먼저 분급하고 남은 재산을 상속재
산으로 하는 것이 마땅하다고 생각한다.
그 후 남게 되는 재산으로 직계비속과 배우자에게 일정비율을, 직계존속에게 일정비율을, 형제자매에
게 일정비율을 각각 고정식으로 배분하는 것이 타당하다고 본다. 이러한 제도적 개선이 이루어지게 되
면 피상속인을 중심으로 한 혈족의 사적 부조가 공평하게 실현되고, 아직 재정적으로 완전하지 않은
공적 부조의 부족함을 보충될 수 있을 것이다. 결과적으로 이러한 상속제도의 개선은 고령화사회로 인
한 공적 부조의 한계를 극복하는데 기여할 것으로 본다.In Korea recently numerous concerns have been raised about unethical conduct by
some corporate lawyers, especially those related to the issuance and/or distribution of securities. In
other countries, already much debate has been conducted on whether or not such activities of
lawyers should be regulated. Japan, for example, enacted a law aimed at preventing the abuse of
power given to lawyers working for organizations in conducting their activities as of April 1st,
2005 (Code of Conduct for Lawyers, Article 50 and 51).
In case of the United States, activities conducted by lawyers working for businesses were
regulated to a certain extent; however, these regulations were executed in a very narrow sense having effects only on cases involving illegal acts made by the lawyers themselves and not placing
any responsibility on lawyers working for securities-issuing companies to be a gatekeeper for
companies intending criminal acts. Consequently, issues were not raised with regard to those
activities done by lawyers that had a close relationship with or were working for firms as their
legal advisor concerning the handling and/or mishandling of securities. It was in the wake of the
notorious Enron and Worldcom cases that the US government realized the need to strengthen
regulations on the conduct of corporate lawyers and enacted the so-called Sarbanes-Oxley Act of
2002, which is also known as the Public Company Accounting Reform and Investor Protection Act
and which includes the requirements to be fulfilled by corporate lawyers handling securities with
respect to their duty for financial reporting (Article 307).
This study examines the legal system of the United States with regard to corporate lawyers
dealing with securities, and it attempts to make suggestions with respect to ways to improve the
current system in Korea by focusing on the Sarbanes-Oxley Act of 2002 and related rules
established in accordance with the same law.
