스톡옵션제도는 성과배분에서 나타날 수 있는 대리인비용을 최소화하며, 보고이익의 질을 높여 주주 및 기업가치를 제고시키는 방향으로 사용될 수도 있으나, 선행연구에서는 스톡옵션을 부여받은 경영자가 주어진 재량권을 최대한 행사하여, 부의 극대화를 꾀하는 것으로 보고하고 있다. 이는 경영자의 재량권과 아울러 주가와 이익의 양(+)의 관계를 전제로 할 경우, 스톡옵션에 의한 보상의 크기가 행사시점의 주가와 부여시점의 약정된 행사가격과의 차이에 의해서 결정됨으로, 경영자가 스톡옵션 부여 前에는 이익의 과소계상조정을, 행사 前에는 이익의 과대계상조정을 통하여 보상의 극대화를 추구함을 의미한다. 한편 보수주의는 경영자의 성과척도인 보고이익의 계산에 있어서 정보의 비대칭 등에서 나타날 수 있는 대리인비용을 자율적으로 해결하는 기제로서의 역할을 함으로써, 경영자의 기회주의적 행동에 제한을 가하고 이를 통해 계약의 효율성을 증가시켜 기업가치의 하락을 막는데 기여한다고 주장되고 있다. 그러나 최근에 보수주의를 연구한 일부 선행논문에서는 전술한 내용과는 달리, 보수주의가 이익조정을 위한 수단으로써 이익조정과 서로 대체될 수 있는 개념으로서, 논의를 전개하고 있다.
본 논문에서는 이러한 보수주의 역할관계에 대하여 스톡옵션 발행기업을 중심으로, 이익조정이 행해진 경우, 전제로 한 경영자의 이익조정을 위한 재량권행사가 보수적 회계처리수준에 어떠한 영향을 미치는가를 실증적으로 분석함으로써 이익조정과 보수주의의 상호관계를 실증하였다. 실증결과, ⅰ)스톡옵션의 행사 前에는 선행연구에서와 같이 주가를 높이기 위한 이익조정은 행해졌으나, 부여 前에는 행사가격을 낮추기 위한 이익조정은 나타나지 않았다. 또한, 보수주의 회계처리와의 관계에 있어서도 ⅱ)스톡옵션 부여 前과 행사 前에 보수적 회계처리의 상대적인 수준을 이용한 이익조정행위는 나타나지 않아, 보수주의 회계처리가 이익조정의 수단으로써 이익조정과 서로 대체될 수 있는 개념으로 보기 어려웠다.Many companies utilize stock options as devices for aligning the long-term interests of shareholders and managers, mitigating agency costs, and raising their reported earnings. However, prior studies have reported instances where CEOs' stock options have induced managers to act opportunistically rather than in the interests of shareholders. Assuming that stock prices respond to reported earnings mechanically, and that managers exercise discretions to their reported earnings, this paper investigates whether a firm which decides to grant executive stock options tends to lower its earnings in the prior year of the grant year and whether CEOs that decide to exercise stock options tend to inflate their firms' earnings in the prior year of the exercise year and, finally, whether managers perform the earnings management through the relative levels of conservative accounting.
Results are partially consistent with predictions, which are summarized as follows. First, in the sample of firms exercising stock options, discretionary accruals are significantly higher than those of the control-samples in the prior year of the exercise year. But, secondly, managers do not perform the earnings management through the relative levels of conservative accounting. That is, the firms that are granted(or exercised) stock options are not significantly different from the firms that are not granted(or exercised) stock options.
Consequently, we conclude that managers exploit their considerable discretion in the computation of earnings to inflate earnings in the prior year of the exercise year to increase their compensations, but managers do not use the relative levels of conservative accounting for the purpose of the earnings management.
