경영자 보상제도의 하나인 스톡옵션 보상제도는 대리인비용을 완화시켜 계약비용을 낮추며, 보고이익의 질을 높여 주주 및 기업 가치를 제고시키는 방향으로 사용될 수도 있으나, 한편으로는 경영자가 경영자보상의 극대화를 위한 하나의 도구(tool)로써 이용될 수도 있다. 유인보상의 일환으로 스톡옵션을 부여받은 경영자의 주식기준 보상은 부여시점의 약정행사가격과 권리행사시점의 주가의 차이에 의해서 그 크기가 결정되므로 경영자는 스톡옵션 부여시점의 약정행사가격은 가급적 낮추려 하며, 행사시점의 주가는 가급적 높이려는 유인을 갖는다. 만일 경영자가 보고이익의 계산에 실질적인 재량권을 가지며, 주가와 이익 사이에 양(+)의 상관관계가 존재함을 전제로 할 경우, 재량권의 행사를 통한 이익의 증감은 주가의 변동을 초래하여 경영자보상의 극대화로 이어질 수 있다. 본 연구에서 스톡옵션 발행 기업을 중심으로 이러한 유인의 존재여부에 대하여 실증 분석한 결과, ⅰ) 스톡옵션 부여직전에는 약정 행사가격을 낮추기 위하여 이익을 과소 계상하는 이익조정이 발견되지 않았으나, ⅱ) 스톡옵션 행사직전에는 행사시점의 주가를 높이기 위하여 이익을 과대 계상하는 이익조정이 발견되었다. 나아가 스톡옵션 행사를 염두에 둔 이익조정표본과 통제표본 사이에 재량적 발생액의 가치관련성에 차이가 존재하는지를 분석한 결과 주식수익률과 재량적 발생액의 상관관계에는 유의한 차이가 발견되지 않았다. 이는 투자자들의 이익에 대한 기능적 고착화 현상을 부분적으로 반영하는 것으로 해석되며 주식시장이 이익의 구성요소에 관한 정보를 충분히 반영하지 못함을 시사한다. 즉, 경영자가 스톡옵션 행사시에 주가에 영향을 미치기 위하여 이익조정을 수행하더라도 시장이 이를 적절히 간파하여 차별적인 수익률반응을 나타내지 못함으로써 결과적으로 경영자에게 기회주의적인 이익조정의 동인을 허용하고 있다고 할 수 있다.Many companies utilize stock options as devices for aligning the long-term interests of shareholders and managers. Companies are increasingly issuing executive stock options as an alternative means of cash compensation to mitigate agency costs, lower their contract costs, and to raise their reported earnings. However, prior studies have reported instances where CEOs' stock options have induced managers to act opportunistically rather than in the interests of shareholders. Assuming that stock prices respond to reported earnings mechanically, and that managers exercise discretions to their reported earnings, this paper investigates whether a firm which decides to grant executive stock options tends to lower its earnings in the prior year of the grant year and whether CEOs that decide to exercise stock options tend to inflate their firms' earnings in the prior year of the exercise year and, finally, whether the stock market prices discretionary accruals which are used to manage earnings. Results are partially consistent with predictions, which are summarized as follows.First, in the sample of firms exercising stock options, discretionary accruals are significantly higher than those of the control-samples in the prior year of the exercise year. Secondly, the discretionary component of earnings is positively associated with the stock price, which is consistent with the market attaching value to discretionary accounting choice. Consequently, we conclude that managers exploit their considerable discretion in the computation of earnings to inflate earnings in the prior year of the exercise year to increase their compensations, and stock prices do not fully impound the implications of reported earnings.
