합자회사는 무한책임사원과 유한책임사원이 병존하는 가운데 무한책임사원에게 업무집행권 및 대표권을 부여하므로(상법 제273조, 제269조, 제207조), 형식상 지배권과 수익권이 비례하지 않는다. 이러한 상황에서 무한책임사원은 부당한 업무집행 및 대표행위를 할 유인이 있다. 해당 합자회사의 자치 도구가 충분히 갖추어지지 않은 경우에 유한책임사원으로서는 상법상 구제 수단에 기댈 수밖에 없는데, 합자회사는 조합적 기업에 법인격을 부여한 결과, 주식회사에 비하여는 상법에 유일한 무한책임사원의 부당한 업무집행 및 대표행위 문제를 해결할 수 있는 적절한 수단이 충분히 구비되어 있지 않다고 볼 여지가 있다. 다만, 그럴수록 논의의 전제로서 인적회사라는 합자회사의 본질을 충분히 고려하여야 할 것인바, 회사의 존속⋅유지보다는 조합적 속성을 더 중시하여야 한다.
유한책임사원은 원칙적으로 회사의 업무집행을 하지 못하지만(상법 제278조 전단) 정관의 정함에 따라 업무집행권을 부여받을 수 있는 데 반하여, 정관이나 사원 전원의 동의로도 회사의 대표행위를 하지는 못한다(상법 제278조 후단). 결국 무한책임사원이 1인인 경우에는 해당 무한책임사원 외에는 대표사원을 둘 수 없어, 유일한 무한책임사원에 의하여 업무집행 및 대표행위가 부당하게 이루어지는 경우에 무한책임사원과 유한책임사원 간 갈등이 가장 극명하게 드러날 수밖에 없다. 이에 본고는 무한책임사원이 1인인 경우를 위주로, 부당한 업무집행 및 대표행위를 하는 무한책임사원에 대하여 유한책임사원이 취할 수 있는 상법상 구제 수단을 다루고자 한다. 우리나라 제정 상법에 영향을 준 일본의 논의도 참고한다.
무한책임사원이 업무집행이나 대표행위를 하는 경우 선량한 관리자의 주의의무를 지고, 이에 위반하면 회사에 대하여 손해배상책임을 질 수 있다는 점(상법 제269조, 제195조, 민법 제707조, 제681조)에 대하여는 별다른 의문이 없다. 나아가, 해당 무한책임사원에 반대하는 유한책임사원은 해당 무한책임사원을 배제하기 위하여 (그가 유일한 무한책임사원이더라도) ① 해당 무한책임사원에 대한 업무집행권 및 대표권 상실 선고를 청구할 수 있고(상법 제269조, 제216조, 제205조), ② 해당 무한책임사원에 대한 제명 선고를 청구할 수 있다(상법 제269조, 제220조). 또한, 해당 합자회사와의 관계를 단절하고 투하 자본을 회수하기 위하여서는 ③ 부득이한 사유로 인한 회사 해산을 청구할 수도 있고(상법 제269조, 제241조 제1항), ④ 부득이한 사유로 인한 즉시 퇴사도 가능하다(상법 제269조, 제217조 제2항).
Limited partnerships have one or more general partners and one or more limited partners, whereby general partners manage the business (Commercial Act Article 273, 269, 207). This may lead to an imbalance between the rights of control and the rights of profit, leaving general partners prone to perform managerial actions unjustly. Without voluntary agreements between partners, a limited partner cannot help but depend on remedies available under the Commercial Act. However, as a result of limited partnerships being generally defined as contractual relationships, and at the same time being juridical entities having an existence separate from that of the partners, the Commercial Act does not provide fully effective remedies to cope with unjust management by only one general partner, compared to those of corporations. Nevertheless, all the more, it is imperative to consider the contractual nature of limited partnerships as a premise of the discussion. Emphasis should be placed more on contractual attributes rather than merely sustaining the limited partnerships’ existence.
A limited partner can participate in internal affairs if articles of association permit(the former part of Commercial Act Article 278), but cannot run the business on the limited partnership's behalf even with articles of association or anonymous consents of all the other partners(the latter part of Commercial Act Article 278). Eventually, if there is only one general partner, no other partners can manage the business on behalf of the limited partnership, and conflicts between the sole general partner and the other limited partners can be heightened if the managerial actions are performed unjustly by the general partner. The author focuses on cases where limited partnerships have only one general partner and studies remedies available under the Commercial Act for limited partners in such situations, including implications from Japanese law that influenced the first Korean Commercial Act.
It is undeniable that a general partner who has the right to manage is imposed the duty of dealing with partnership affairs in the utmost good faith and should compensate for the damages caused by the breach of duty(Commercial Act Article 269, 195, Civil Act Article 707, 681). Moreover, a limited partner who is against the general partner can (even if there is only one general partner) ① apply for the forfeiture of right to manage of the general partner(Commercial Act Article 269, 216, 205) and ② apply for the expulsion of the general partner(Commercial Act Article 269, 220) to drive out the general partner. Additionally, a limited partner can ③ apply for the dissolution due to inevitable reasons[Commercial Act Article 269, 241⑴], and ④ withdraw promptly from the limited partnership due to inevitable reasons[Commercial Act Article 269, 217⑵] to sever relations with the limited partnership and recover their share of the partnership's assets.
