2020년부터 상장법인 사외이사 재직기간이 6년(계열사 포함 9년)을 초과하지 못하도록 정한 개정 상법시행령이 시행되었다. 이 제도는 사외이사 장기재직에 따른 독립성훼손위험 논리에 근거한 것이다. 사외이사 장기재직은 경험축적(전문성가설)과 독립성훼손위험(경영진친숙가설)의 양 측면을 갖는다. 본 연구는 사외이사 평균 재직기간과 6년 재직기한 초과 사외이사가 재직 중인 기업(사외이사 재직기한 초과기업)의 영향을 감사시간・보수와 재량발생액(절댓값)의 차이 여부로 조사한다. 실증조사 결과, 사외이사 평균재직기간이 길수록, 그리고 사외이사 재직기한 초과기업일수록 감사시간과 시간당보수가 더 낮고, 재량발생액(절댓값) 수준도 더 낮았다. 이 조사결과는 감사인들은 사외이사 재직기한 초과기업의 감사위험을 낮게 평가하고, 이 기업들의 회계품질도 더 양호함을 나타낸다. 이 조사결과는 전문성 가설을 지지하는 또 다른 추가적 실증증거의 하나로서 제도개편의 취지와는 반대되는 것이다.
From fiscal year 2020, Korean Commercial Act sets the listed companies’ outside director tenure limits not to exceed six years (9 years including affiliates), which is based on the independence impairment risks by long-tenured directors. However, previous studies explain the positive and negative effects of long-tenured outside directors, indicating having both aspects of accumulated experience (Expertise hypothesis) and independence impairments (Management friendliness hypothesis). This study examines whether audit hours, hourly audit fees, and (absolute) discretionary accruals are different for the average outside directors’ tenures, and for the companies whose board include any long-tenured outside directors exceeding the tenure limits. Study results show that audit hours, hourly audit fees, and (absolute) discretionary accruals decrease as the average outside directors’ tenures increase, and are lower for those long-tenured outside director companies’ than the others. These indicate that audit risks of such companies are recognized as low by the auditors, and their financial reporting quality is higher. It is another empirical evidences supporting Expertise hypothesis, which is contrary to the logic of the new system imposing outside director tenure limits.
