최근 유럽연합은 도산전절차의 도입이라는 개혁적 조치를 단행하였다. 유럽도산법은 그 적용범위를 도산전절차로 확대하였으며, 이에 발맞추어 유럽도산지침은 예방적 구조조정제도를 도입하였다. 아래 논문은 이를 긍정적으로 평가하면서 이 제도를 우리나라의 도산법제 내에 도입할 것을 제안한다. 그 핵심 내용은 도산법제의 일원화를 위해 첫째, 회생법원의 ARS 실무를 현행 기촉법 내로 재편하고, 도산전절차에 관한 규정을 두는 기촉법과 현행 채무자회생법을 양 축으로 하는 도산법제를 구축하여야 하며, 둘째, 기촉법과 ARS 제도 등 도산 밖에 존재하는 구조조정 제도를 자율적 합의에 법원의 인가를 부여하는 형식으로 넓은 의미의 도산절차에 포함시켜야 한다는 것이다. 필자는 그 근거로, 도산법의 목적이 청산에서 회생 및 예방으로의 패러다임 전환의 시대적 소명에 맞추어야 한다는 점, 도산전절차가 세계적인 입법추세인 상황에서 도산절차 및 도산재판의 국제간 상호승인 가능성을 높여야 한다는 점, 그리고 무엇보다 현행 기촉법은 도산법제로 편입되었을 경우에 비로소 그 위헌성 문제를 극복할 수 있을 뿐 아니라 법적 근거 없이 행해지고 있는 ARS 제도에 도산법적 정당성을 부여할 법적 근거가 필요하다고 지적한다.
유럽도산법의 또 다른 개가라 할 수 있는 기업집단도산에 대한 처리시스템 구축과 관련하여, 필자는 다국적 기업의 국제도산에 대비한 국내법 정비가 필요한 시점에서 유럽도산법의 기업집단도산 처리시스템과 UNCITRAL의 국제도산모델법을 모형으로 우리나라 기업집단도산법을 제정할 것을 제안한다. 특히, 이 글은 기업집단도산의 효율적 처리의 지평선을 연 유럽도산법상의 그룹조정절차와 그룹조정관리인 제도가 도입되어야 한다고 강조하면서, 부차적으로, 도산관련분쟁에 대한 관련재판적 제도와 vis attractiva concursus를 비교 분석하고, vis attractiva concursus 이론을 채택할 것을 제안한다.This article has explained the EU’s initiatives in the field cross-border insolvency law. It has focused on the most recent developments: the EIR 2015 and the proposed Directive 2016. After the 2008 global economic and financial crises, national and European initiatives developed in parallel. At national level, Member States started to reform their domestic insolvency laws adopting more rescue-oriented regimes to save viable companies from unnecessary liquidation. Such strive was mirrored at the European level by different initiatives, notably the Restructuring Recommendations 2014, the EIR Recast 2015 and the Proposal for a Directive 2016 which all focus on early restructuring, second chance for honest entrepreneurs and general effectiveness of insolvency and rescue regime.
The author attributes these initiatives as a “schoolhouse for the entire world for enacting a modern cross-border insolvency law and for learning about international cooperation.” The EIR Recast inter alia (i) extends its scope of application to pre-insolvency or hybrid proceedings, (ii) clarifies the concept of COMI and tries to reduce the incentives for forum shopping, (iii) introduces new rules on the publication of the proceedings and lodging of claims, (iv) and includes a new chapter for the insolvency of a group of companies. Among these the author has pointed out pre-insolvency proceeding and the insolvency of groups of companies and analysed them from a korean insolvency law perspective. He proposes for adoption of the two issues: pre-insolvency proceeding and the insolvency of groups of companies into korean insolvency law system.
This contribution offers the reason for the former, with focusing on the trend throughout the world of lawmakers to introduce pre-insolvency court proceedings aiming at rescuing troubled businesses and by integrating the current Corporate Restructuring Promotion Act into the Insolvency regime (the Debtor Rehabilitation and Bankruptcy Act) with aim to achieving the convergence of insolvency regimes. On the other hand, he digests that the group coordination proceedings and the group coordinator would be well functioned in korean economic surroundings.
