LBO 거래에 관한 최근 일련의 형사판결은 “이사는 누구의 이익을 보호해야 하는가”라는 회사법의 근본 문제를 새로운 맥락에서 제기하고 있다. 대상회사의 담보제공, 합병, 감자 등의 적법성이 문제된 이 판결들에서는 대상회사의 자산가치를 이용하여 대상회사를 취득하는 것이 과연 적법한지 문제되고 있는데, 법인격을 절대시하는 입장에서 “대상회사 그 자체”의 재산 증감을 기준으로 판단한다면 대부분의 LBO 거래가 배임죄의 혐의로부터 자유롭기 어렵기 때문이다.
이와 같이 법인격을 절대시하는 형식적 이해는 이사의 신인의무의 상대방 및 회사의 손해 개념에 대해 궁극적인 답을 제공해 주지 못하고, 때로는 배후의 진실에 접근하는 길을 가로막을 수 있다. 회사란 배후의 이해관계자들을 떼어 놓고 생각할 수 있는 순수하게 독립적인 실체가 아니므로, 회 손익을 판단함에 있어서는 법인격 이면의 실질적 이해관계, 즉 이해관계자들의 손익을 고려하여야 한다. 이러한 검토를 위한 전제로서 본 논문에서는 회사 그 자체, 주주, 기존채권자, 신규채권자, 근로자 기타 이해관계인 등의 이해관계가 서로 다를 수 있다는 점을 논증하였다.
회사의 손익 여부를 판단하는 방식으로는 법인독립론적 접근, 절차적 접근, 주주이익론적 접근, 이해관계자주의적 접근 등을 상정할 수 있다. 본 논문은 회사의 손익 여부를 판단함에 있어 고려해야 할 이해관계자는 일차적으로 주주이고, 그 다음으로 채권자이며, 적어도 “사업의 계속에 현저한 지장을 초래하지 아니하고는 변제기에 있는 채무를 변제할 수 없는 경우”에 이를 정도로 회사의 상황이 악화되었다면 설령 주주와 채권자들이 그 결과를 감수하였다고 하여도 그 밖의 이해관자들의 이익도 고려하여 회사의 손해를 인정할 수 있다는 견해를 밝혔다. 다시 말해서 주주이익론적 접근을 기본으로 하되 이해관계자주의적 시각을 가미한 것이다.
이상의 논의는 법인격 개념 및 회사의 손익 개념을 배척하는 것이 아니라 오히려 그 내용을 충실하게 하려는 시도이다. 즉 ‘주주의 손익’과 구분되는 ‘회사의 손익’ 개념은, 회사 자체에 귀속되는 재산의 증감이 아니라 주주는 물론 그 밖의 이해관계자들의 손익을 표창하는 것으로 이해할 때에만 구체적이고 합리적인 의미를 가지게 될 것이다.It has long been debated whose interest the manager of a company should serve. While many scholars argued that the only purpose of a company is the maximization of the shareholder value, an alternative thinking, or “stakeholder” model, argued that the manager may, or even should, consider the interest of other stakeholders such as employees, creditors, community, suppliers and customers.
In Korea, this debate has been framed under the doctrine that the directors owe duties toward “the corporation itself.” Although this doctrine (or rhetoric) may sound logical as direct deduction from the concept of “separate legal personality,” it does not provide the ultimate answer to the real question whose interests the managers should serve.
It became a serious issue in a few recent Korean Supreme Court cases involving LBO transactions. Several forms of LBO transactions designed for "debt push-down," such as (i) a financial assistance by the target to the debt-laden SPC, (ii) merger of the target with the debt-laden SPC or (iii) aggressive distribution from the target to the debt-laden SPC by way of capital reduction and payment of dividends, were challenged as criminal breach of trust because they harmed the "target company itself."
The author argues that the formalistic understanding of the legal personality maintained by the Korean courts does not provide the right answer to our question. At the same time, however, the author does not believe that such formalistic understanding should be completely replaced with the shareholder supremacy theory. The author claims that the stakeholder model helps us explain and critically analyze the “corporation itself” doctrine held by the Korean courts, without entirely kicking out some value this apparently clumsy doctrine has.
Thus, when considering whether certain project is beneficial or harmful to the company, the directors should review its impact on the ratable interest of the shareholders first, and then that of the creditors, and also review the possibility that the interests of other stakeholders would be seriously impaired by insolvency of the company as a result of the aggressive leveraging.
